Terms of Service

1. Acceptance of these terms
These Terms of Service ("Terms") are a binding agreement between you and Prevail-IT Solutions USA Inc., a Florida corporation, operating the TrioDeal website at triodeal.com ("TrioDeal", "we", "us"). By browsing the site, creating an account, posting a listing or requesting a seller's contact details, you accept these Terms, the Privacy Policy and the Listing & Acceptable Use Policy, which is part of these Terms. If you do not accept them, do not use the service.
You must be at least 18 years old and able to form a binding contract to use TrioDeal. If you use the service for a company, you represent that you have authority to bind that company, and "you" includes it.
2. TrioDeal is an advertising platform — nothing more
TrioDeal is an online advertising platform where sellers — wholesalers, real estate agents, investors and owners — publish property deals, and buyers browse them. TrioDeal:
- is not a real estate broker, agent, dealer or advisor, and does not perform any activity requiring a real estate license;
- is not a party to, and does not negotiate, arrange, or close, any transaction between a buyer and a seller;
- does not hold funds, take deposits, or handle escrow;
- does not represent either side of any transaction;
- does not inspect properties or verify the accuracy, legality, quality or completeness of any listing.
All listing content is provided by third-party sellers. TrioDeal provides an interactive online service through which users submit and access information; to the extent provided by applicable law, TrioDeal is not responsible as the publisher or speaker of information supplied by another user.
3. Sellers are solely responsible for their listings
Every listing is created and controlled by the seller who posted it, and that seller bears sole and full responsibility for it — for its accuracy, its legality, its photographs and every consequence of publishing it. By posting a listing, and again each time you renew one, you represent and warrant that:
- you own the property or hold it under a valid, current contract, and you have the legal right to market it;
- the deal type disclosed on the listing (assignment, owner-direct, agent-listed, subject-to or novation) is accurate;
- every figure and statement in the listing — price, ARV, repair estimates, rents, occupancy, liens, condition and all other fields — is truthful and not misleading;
- you own or are licensed to use every photo and document you upload, and none of it infringes anyone's copyright, trademark or privacy rights;
- your listing and your conduct comply with all applicable law, including federal law, the real estate advertising and licensing law of the state where the property is located, the federal Fair Housing Act, and applicable state and local fair housing law;
- the role on your profile — owner, investor, wholesaler or realtor — accurately describes your standing, and any license you claim is current and accurately identified;
- you will promptly mark the listing sold, or withdraw it, when the property is no longer available.
These representations are conditions of using the service. A listing posted in breach of any of them may be removed and the account terminated without notice.
4. License to your content
You keep ownership of the content you post. You grant TrioDeal the following non-exclusive, worldwide, royalty-free licenses:
- Operational license — to host, store, reproduce, resize, adapt, publish and display your content in order to operate the service, for as long as the content is hosted and for reasonable backup and record-retention periods afterwards.
- Historical-display license — to continue displaying a sold or archived listing as a historical marketplace listing, only for as long as it remains publicly archived under Section 7.
- Promotional license — to use content in promotion of the service. This license ends for a listing when you withdraw or delete it, except for materials already incorporated into completed promotional content.
- Legal-retention license — to retain content non-publicly where needed for disputes, security, fraud prevention, legal compliance and enforcement of these Terms.
None of these licenses overrides a valid removal under the DMCA Policy, our obligations under the Privacy Policy, or a court order.
5. Buyers: no verification, no advice, no reliance
Prices, ARV figures, repair estimates, rents, cap rates, flood zones, liens and every other field are supplied by the seller or derived from what the seller supplied. Nothing on TrioDeal is an appraisal, an inspection, a title opinion, or legal, tax or investment advice, and nothing here is an offer to broker. You may not rely on any listing content; you must perform your own due diligence — inspection, title search, and independent professional advice — before entering any transaction. Any transaction you enter is solely between you and the seller, at your own risk.
Where the site says an account or address is "email confirmed", that means only that the user demonstrated control of an email address at one point in time. It is not verification of identity, licensure, ownership, listing authority or anything else, and publication of a listing is not approval, endorsement or authentication of it. Listings may be incomplete, outdated, inaccurate, misleading or fraudulent.
Fraud warning: never wire money, send a deposit, or share bank, identity or other sensitive information on the strength of a listing alone. Independently confirm the identity of the person you are dealing with, their authority over the property, and every payment instruction — by a channel you establish yourself, not one supplied in the listing — before sending funds or signing anything.
6. Access rules and prohibited conduct
Browsing is free and requires no account. Seller contact details are shown after a human-verification check and an email address, subject to rate limits. You must not:
- scrape, crawl, harvest or bulk-extract listings, photos or contact details, or circumvent the rate limits or the human-verification check;
- post content that is false, deceptive, infringing, defamatory or unlawful;
- post content that expresses a preference, limitation or discrimination based on race, color, religion, sex, familial status, national origin, disability, or any other class protected by federal, state or local law;
- list a property you have no right to market, or misstate the deal type;
- use MLS photographs, data or descriptions without authorization from their owner;
- impersonate another person, use another person's account, or provide false registration information;
- run scams, phishing or malware through the service, collect deposits through it, or use it for any illegal activity;
- manipulate listing placement, reports, or engagement counts, including by reporting listings you know comply with these Terms;
- circumvent a suspension or ban, or repost a listing that was removed for a violation;
- interfere with the operation or security of the service.
The Listing & Acceptable Use Policy explains these rules in plain language, including who may list and what evidence we may ask for.
7. Moderation, suspension and termination
Any listing can be reported from its page, and we review reports promptly. TrioDeal has the right — but not the obligation — to monitor, screen, edit, refuse or remove any content, and to suspend or terminate any account, at its sole discretion, with or without notice, for any reason or no reason, including breach of these Terms. We are not liable to you or anyone else for exercising these rights. Sold listings may remain publicly visible as historical marketplace listings, subject to our moderation, privacy, legal and removal policies; historical listings do not accept contact requests.
We may ask any seller for evidence supporting a listing — proof of ownership, a contract, a listing agreement, identity or other authorization — and may hide or remove the listing if the evidence is not provided within a reasonable time. We may preserve listings, account records and communications as evidence, and may share them with law enforcement or in response to valid legal process. Reviewing and investigating are rights, not obligations: we do not routinely verify users or listings and do not monitor every listing, and requesting or reviewing information does not constitute certification, endorsement or any guarantee of identity, ownership or authority.
If your listing was removed or your account suspended and you believe that was a mistake, you may ask for reconsideration through the contact form with the subject "Moderation appeal", explaining why and attaching any supporting evidence. We review appeals but do not guarantee a particular outcome. Copyright removals follow the counter-notice process in the DMCA Policy instead.
8. Copyright complaints
We respond to copyright infringement notices under the Digital Millennium Copyright Act as described in our DMCA Policy, and we terminate the accounts of repeat infringers.
9. Fees
Listing and browsing are free. Optional paid add-ons may be introduced later with prior notice; they will never make existing listing data inaccessible to buyers.
10. Disclaimer of warranties
THE SERVICE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND AVAILABILITY. TRIODEAL DOES NOT WARRANT THAT ANY LISTING IS ACCURATE, THAT ANY PROPERTY IS AS DESCRIBED, THAT ANY SELLER OR BUYER WILL PERFORM, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIODEAL, PREVAIL-IT SOLUTIONS USA INC., AND THEIR OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR ANY TRANSACTION, COMMUNICATION OR DISPUTE BETWEEN A BUYER AND A SELLER — EVEN IF ADVISED OF THE POSSIBILITY. THE TOTAL AGGREGATE LIABILITY OF TRIODEAL AND PREVAIL-IT SOLUTIONS USA INC. FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID TRIODEAL IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations; in those jurisdictions these limits apply to the fullest extent permitted.
12. Indemnification
You agree to defend, indemnify and hold harmless TrioDeal, Prevail-IT Solutions USA Inc., and their officers, directors, employees and agents from and against any claim, demand, loss, liability, damage, cost or expense — including reasonable attorneys' fees — arising out of or relating to: (a) content you post, including your listings and photos; (b) any transaction, communication or dispute between you and another user; (c) your breach of these Terms or of any representation in Section 3; or (d) your violation of any law or of any third party's rights. We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with that defense.
Release. If you have a dispute with another user — including any dispute arising from a listing, a communication, a negotiation or a transaction — you release TrioDeal and Prevail-IT Solutions USA Inc. from all claims, demands and damages of every kind, known or unknown, arising out of or connected with that dispute.
13. Dispute resolution — arbitration and class action waiver
Any dispute arising out of or relating to these Terms or the service that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Broward County, Florida or conducted remotely. Either party may instead bring an individual claim in small-claims court. YOU AND TRIODEAL EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION OR REPRESENTATIVE PROCEEDING. You may opt out of this arbitration agreement by contacting us with the subject "Arbitration opt-out" within 30 days of first accepting these Terms.
14. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute not subject to arbitration will be heard exclusively in the state or federal courts located in Broward County, Florida, and you consent to their jurisdiction.
15. Changes to these terms
We may update these Terms. The version and effective date at the top of this page change when we do, and material changes to seller obligations are announced to account holders by email or on the dashboard. Continued use of the service after a change takes effect is acceptance of the changed Terms.
16. General
If any provision of these Terms is held unenforceable, the rest remain in effect. These Terms, the Privacy Policy and the Listing & Acceptable Use Policy are the entire agreement between you and TrioDeal about the service. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of the service. Sections 3, 4, 10, 11, 12, 13 and 14 survive termination of your account.
